ClaBiTs LTD Terms of Service

These Terms of Service (“Terms”) are published by ClaBiTs LTD, a company registered in Nigeria and the parent company that owns and operates Jara, and govern your use of Jara, including its WhatsApp Business communications sent under the display name “Collet.”

1. Definitions

• ClaBiTs — ClaBiTs LTD, a company registered in Nigeria and the operator of Jara.
• Jara — the payment and collection links platform these Terms apply to.
• Collet — the WhatsApp Business display name ClaBiTs uses to communicate about Jara; not a separate legal entity.
• User — anyone who uses Jara, including creating or paying through a Jara payment/collection link, or communicating with Collet.
• Meta — Meta Platforms, Inc., the provider of the WhatsApp Business Platform.
• WhatsApp Business Platform — the Meta service Jara uses to send and receive WhatsApp messages via Collet.
• Platform Data — data received from or through the WhatsApp Business Platform in connection with Jara, as described in the Privacy Policy.

2. Services

ClaBiTs provides the following through Jara:

• Payment and collection links
• Invoice and billing tools
• WhatsApp customer communication under the Collet display name
• Business payment management services

3. Meta / WhatsApp Services

Jara relies on Meta's WhatsApp Business Platform, and may rely on other third-party services, to deliver messages and notifications. WhatsApp functionality is subject to applicable Meta terms, policies, technical requirements, availability, permissions, limits, and changes. ClaBiTs does not control, and is not responsible for, Meta outages, API changes, permission or review decisions, rate limits, restrictions, or suspension decisions made by Meta.

4. Acceptable Use

You must not use Jara, or the Collet WhatsApp channel, to:

• Send spam or unsolicited bulk messages;
• Engage in fraudulent activity, including fraudulent payment requests;
• Impersonate any person or business, or misrepresent your affiliation with any person or business;
• Attempt phishing or other deceptive or abusive communications;
• Send unlawful messaging or unauthorized marketing communications;
• Attempt unauthorized access to Jara, or scrape or circumvent its restrictions;
• Unlawfully collect or use other people's personal data; or
• Violate applicable Meta or WhatsApp Business Platform policies, or applicable law.

You are also responsible for the accuracy of the information you provide and for keeping your account credentials secure.

5. Fees and Payments

Certain Jara services may be subject to transaction or service fees, which will be disclosed before use. Payment processing depends on third-party payment and banking providers; transactions may be delayed, rejected, or unavailable due to those third-party systems. ClaBiTs is not a bank and does not itself hold a payment-processing license — payments are processed through ClaBiTs' supported banking and payment partners.

6. Data Ownership and Limited License

• You retain rights in the data and content you submit through Jara, subject to the processing rights described below and in the Privacy Policy.
• ClaBiTs retains all rights in the Jara software, infrastructure, interfaces, branding, and other proprietary technology.
• Meta retains its own rights under applicable Meta terms in relation to the WhatsApp Business Platform.

You grant ClaBiTs a limited license to host, store, process, transmit, and secure the data and content you submit, solely to provide, maintain, and secure Jara, subject to the Privacy Policy and applicable law.

7. Third-Party Services

Jara may depend on third-party services it does not control, including Meta/WhatsApp, payment providers, banks, and cloud infrastructure providers.

8. Suspension and Termination

ClaBiTs may suspend or terminate access to Jara where a User:

• Violates these Terms;
• Engages in fraud, abuse, or illegal activity;
• Poses a security risk to Jara or its users;
• Violates applicable Meta or WhatsApp Business Platform policies;
• Attempts unauthorized access, or engages in payment abuse; or
• Where required by applicable regulation, or by Meta.

After termination, your data may be deleted or anonymized in line with the Privacy Policy and Data Deletion page, except where retention is legally required or otherwise permitted under this policy.

9. Service Availability

Jara's availability may be affected by factors outside ClaBiTs' control, including Meta/WhatsApp outages, payment or banking outages, network failures, scheduled maintenance, other third-party failures, applicable regulatory restrictions, or force majeure events.

10. Changes to Jara

ClaBiTs may make reasonable changes to Jara's functionality from time to time, including changes required because Meta changes its APIs, policies, or platform capabilities.

11. Limitation of Liability

ClaBiTs LTD provides Jara on an “as available” basis and is not liable for indirect, incidental, or consequential damages arising from the use of the service.

12. Governing Law

These Terms are governed by the laws of the Federal Republic of Nigeria.
